Grovy India Ltd. said its board approved a preferential allotment of up to 41.7 million equity shares at ₹36 apiece, raising about ₹15 crore from promoters and a group of public investors. The issue price represents a modest discount to the prevailing market price, reflecting the company's nano-cap status. Proceeds are expected to fund ongoing real estate projects and general corporate purposes. Separately, the company proposed to increase its authorised share capital to ₹25 crore from ₹13.5 crore, signalling room for further equity expansion. The board also recommended a final dividend of ₹0.10 per share for the year ended March 2026, subject to shareholder approval at the annual general meeting scheduled for July 8. The preferential issue is the largest single equity raise in the company's recent history, equivalent to more than a quarter of its current market value. The allotment list includes promoter family members and several individual investors, suggesting a strategic rather than purely financial motive. Shareholders must approve both the capital increase and the preferential allotment at the upcoming AGM.
