IP Rings Ltd has signed a Business Transfer Agreement to purchase the manufacturing business of its joint venture IPR Eminox Technologies Private Limited through a slump sale. The acquired division, which produces exhaust after-treatment systems, recorded turnover of ₹39 crores in the financial year 2025-26. IP Rings will take over fixed assets of ₹2.67 crores and working capital of ₹2.08 crores, while assuming bank liabilities of ₹3.45 crores as part of the deal. The total consideration for the transaction is Re. 1, based on a valuation report from a ministry-approved valuer. The company has also entered into a Licensing and Technical Support Agreement with IPR Eminox for design development. IP Rings already holds a 50% stake in the joint venture, making the transaction a related-party deal executed at arm's length. The acquisition is expected to consolidate the JV's manufacturing operations under IP Rings without any change in management or control.
