Kinetic Trust's board has approved a ₹6.6 crore fundraise by issuing up to 60 lakh convertible warrants on a preferential basis to ten non-promoter investors. The warrants are priced at ₹11 each, an amount close to the face value of the equity shares, and will be allotted to individuals including Vipul Garg, Nidhi Jindal, and Sanjiv Khurana. Each investor will receive 6 lakh warrants, equivalent to a 6.41% stake in the company on a fully diluted basis post-issue. The warrants can be converted into equity shares in one or more tranches within 18 months of allotment. To facilitate the issue, the board also approved increasing the company's authorised share capital from ₹5.5 crore to ₹10 crore. The entire fundraising scheme is subject to shareholder approval at the upcoming annual general meeting.
