Gulshankumar Vijaykumar Chopra, a promoter of Niraj Cement Structurals, announced an open offer to buy up to 26% of the company's equity shares at ₹29 apiece, totaling ₹45 crore. The offer follows his execution of two share purchase agreements to acquire 41.04% of the company from public shareholders Bylan-Niraj Infra Projects and Chem Logistics & Infra at prices between ₹23.50 and ₹25.50 per share. Chopra currently holds 8.75% of the company. After acquiring the SPA shares, his stake will rise to 49.78%, and if the open offer is fully subscribed, total promoter holding could reach 91.93%. The open offer is mandatory under SEBI takeover regulations and is not subject to any minimum acceptance condition. The company's shares are listed on BSE and NSE, and the detailed public statement will be published by June 23.
