Balaji Phosphates approved a proposed acquisition of Chatak Agro (India) Private Limited for up to ₹35 crore, to be funded partly in cash and partly through up to 14.499 lakh shares issued in a share swap. It also approved the acquisition of the business undertaking of Divya Jyoti Agritech for up to ₹15 crore and a preferential issue of up to 26.4635 lakh convertible warrants at ₹93.78 each to promoters and promoter-group entities for up to ₹24.81 crore in cash. The company scheduled a 26 September annual general meeting to seek shareholder approval; the arrangements also required stock-exchange and other regulatory clearances, while valuation and definitive documents remained pending. Chatak Agro reported turnover of ₹10.29 crore in FY25, compared with ₹9.18 crore in FY24 and ₹18.84 crore in FY23. Balaji Phosphates recorded about ₹152 crore of operating revenue in FY24, including roughly ₹118 crore from fertilisers and ₹33 crore from weighbridge operations.

It also approved the acquisition of Divya Jyoti Agritech's business for up to ₹15 crore and a preferential issue of up to 26,46,350 convertible warrants to promoters Mohit Airen and Alok Gupta and promoter-group entity Divyajyoti Agritech at ₹93.78 each, raising up to ₹24.81 crore. Chatak Agro would become a wholly owned subsidiary on completion of the proposed transaction. Chatak Agro, an agro-products and phosphatic-fertiliser business, reported turnover of ₹10.29 crore in the year to March 2025, against ₹9.18 crore in the previous year and ₹18.84 crore in 2022-23. Balaji Phosphates reported operating revenue of about ₹152 crore in the year to March 2024, with fertilisers contributing roughly 78% and weighbridges the balance.
