Krebs Biochemicals & Industries said its board approved a scheme of amalgamation with Ipca Laboratories Limited, under which Krebs will merge into Ipca. Shareholders of Krebs will receive seven equity shares of Ipca for every 200 shares held. No cash consideration is being paid. The appointed date for the scheme is April 1, 2026, and the merger will become operative upon receipt of all regulatory and shareholder approvals. The amalgamation is aimed at securing uninterrupted supply of fermentation-based APIs and drug intermediates that Krebs produces for Ipca, consolidating business, and enabling R&D leveraging Ipca’s financial and technical strength. Krebs reported a standalone total income of ₹26 crore for the year ended March 2026, mostly from conversion charges received from Ipca, while Ipca reported ₹7,431 crore. The merger is classified as a related-party transaction conducted at arm’s length, and the scheme will result in operational synergies, cost optimization, and entry into new fermentation-based API development for the combined entity.
