Thomas Cook (India) received a “No objection” observation letter from the National Stock Exchange dated September 1 for its composite scheme of arrangement. The scheme would demerge the resort business to Sterling Holiday Resorts and merge TC Visa Services, Jardin Travel Solutions and Borderless Travel Services into Thomas Cook (India). The board approved the restructuring in March 2026, subject to regulatory and other approvals. Sterling had 78 resorts and about 3,800 keys after reporting Q1 FY27 revenue of ₹170 crore and EBITDA of ₹62 crore. The exchange made the no-objection conditional on SEBI compliance, additional disclosures and the subsequent NCLT process, with the scheme to be submitted to the tribunal within six months.

Thomas Cook (India) received a BSE observation letter with no adverse observations on its composite scheme of arrangement involving Sterling Holiday Resorts and three subsidiaries. BSE said the letter enabled the company to submit the scheme to the National Company Law Tribunal, while making clear that it did not constitute approval by the exchange or SEBI. The scheme proposed transferring TCIL’s resort business to Sterling, consolidating TCIL’s shares and amalgamating TC Visa Services, Jardin Travel Solutions and Borderless Travel Services. The letter was valid for six months from August 31 and made Sterling’s eventual listing subject to SEBI approval, regulatory compliance and the exchange’s discretion.
